1. Acceptance of Terms

These terms and conditions ("Terms") are a legal agreement between you ("Customer", "User", "you") and Call Center Options, LLC d/b/a CPA Security ("Company", "we", "us"). By accessing or using the website, software, or services ("Services") provided by CPA Security, you agree to be bound by these Terms.

2. Description of Services

CPA Security provides compliance automation software, training modules, and documentation generation specifically tailored for accounting professionals. While our Services assist in meeting regulatory obligations (such as the IRS Pub 4557 and FTC Safeguards Rule), they do not constitute legal advice. You are solely responsible for ensuring your firm's total compliance with all applicable local, state, and federal laws.

3. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPLICITLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE FROM CYBER ATTACKS.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

UNDER NO CIRCUMSTANCES WILL THE COMPANY BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.

IN NO EVENT SHALL THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE TOTAL AMOUNT YOU PAID TO THE COMPANY FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

5. Indemnification

You agree to defend, indemnify, and hold harmless Call Center Options, LLC d/b/a CPA Security, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, or any data breach, security incident, or regulatory fine incurred by your firm, regardless of whether you utilized our documentation or training services.

6. Governing Law & Exclusive Florida Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the internal laws of the State of Florida and applicable federal laws of the United States, without giving effect to any choice or conflict of law provision or rule.

You irrevocably agree that the state and federal courts located in Duval County, Florida (including the United States District Court for the Middle District of Florida, Jacksonville Division) shall have exclusive jurisdiction to settle any dispute, claim, or controversy arising out of or relating to these Terms or the Services.

7. Communications Consent (TCPA & Florida Telemarketing Act)

By providing your firm telephone number and professional business email address during account registration, checkout, or intake, you grant Call Center Options, LLC d/b/a CPA Security express commercial consent to contact you regarding your compliance subscription, renewal reminders, security audit findings, and billing notices via telephone callback, email, or administrative SMS. In compliance with the Telephone Consumer Protection Act (47 U.S.C. ยง 227) and the Florida Telephone Solicitation Act (Fla. Stat. ยง 501.059), we do not engage in unsolicited consumer marketing robocalls. You may opt out of commercial communications at any time.

8. Billing, Term & Renewal

12-Month Term & Billing: Plans are a one-time payment, charged on the date of purchase, for twelve (12) months of access. Card and bank (ACH) payments are processed by Stripe; access begins once Stripe confirms the payment (bank payments usually take 3โ€“5 business days). Invoice orders begin once we approve the order.

No Automatic Renewal: Plans do not renew automatically and we will not charge you again without your new order. You may renew at any time before or after your term ends; renewing early adds twelve (12) months to your current end date.

End of Term: When your term ends, access to plan features ends. Documents you have already downloaded remain yours.

30-Day Refund Policy: If you are not completely satisfied with your Written Information Security Plan (WISP) documentation during the first thirty (30) days of your initial subscription, contact us for a full refund.

Free Email Security Check

What it does: The free email security check reads the public DNS records of the domain in the email address you enter, and the technical headers of one test email you send to our check address. We do not read or keep the body of that email. Run it only for a domain you work for.

Results: Results describe the settings we could see and how one message arrived at our mail servers at that time. They are general information, not a guarantee that nobody can send email that looks like yours, and not legal advice.

Emails from us: By running a check you agree to receive emails from CPA Security, including your results, security tips and offers. Every marketing email includes an unsubscribe link, and you can unsubscribe at any time.

Fair use: We limit how many checks can be run, and may block automated or abusive use.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms.
